By accessing or using Commercely ("the Platform"), you agree to be bound by these Terms of Service ("Terms").
If you are using Commercely on behalf of a business, you represent that you have authority to bind that business to these Terms.
If you do not agree to these Terms, do not use the Platform.
2. Description of Service
Commercely is a unified commerce platform that provides merchants with:
- Online store creation and management
- Point of sale (POS) terminal software
- Mobile-responsive storefront
- Inventory management tools
- Customer management features
- Marketing and promotional tools
- Multi-currency payment support
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.
3. Account Registration
To use Commercely, you must:
- Be at least 18 years of age
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Be responsible for all activity under your account
You may not create multiple accounts for the same business or share account credentials with unauthorized parties.
4. Merchant Responsibilities
As a Commercely merchant, you are responsible for:
- Ensuring your store complies with Saudi Arabian law
- Accurately representing your products and services
- Fulfilling orders placed through your store
- Handling customer disputes and refunds fairly
- Maintaining accurate pricing and inventory
- Complying with all applicable tax regulations
- Obtaining necessary business licenses and permits
Commercely is a technology platform and is not responsible for the products or services you sell.
5. Prohibited Uses
You may not use Commercely to:
- Sell illegal products or services under Saudi law
- Engage in fraudulent or deceptive practices
- Infringe on intellectual property rights
- Distribute malware or harmful code
- Violate any applicable laws or regulations
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to our systems
- Use automated tools to scrape or extract data
Violation of these prohibitions may result in immediate account termination.
6. Intellectual Property
Commercely's IP: All platform technology, design, trademarks, and content created by Commercely remain our exclusive property.
Your Content: You retain ownership of all content you upload to Commercely, including product images, descriptions, and store design.
License: By using Commercely, you grant us a limited license to host, display, and process your content solely to provide the service.
7. Payment Terms
Free Plan: Commercely is currently available free of charge during our early access period.
Future Paid Plans: When Pro and Business plans launch:
- Subscription fees will be charged monthly or annually
- All fees are in Saudi Riyals (SAR) unless otherwise stated
- Fees are non-refundable except as described in our Refund Policy
- We will provide 30 days notice before any fee changes
8. Service Availability
We strive for 99.9% platform uptime. However, we do not guarantee uninterrupted access.
Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without prior notice.
We are not liable for losses resulting from platform downtime or service interruptions.
9. Limitation of Liability
To the maximum extent permitted by Saudi law:
- Commercely provides the service "as is"
- We do not warrant that the service will be error-free
- Our total liability to you shall not exceed the amount you paid us in the last 12 months
- We are not liable for indirect, incidental, or consequential damages
10. Termination
By You: You may close your account at any time from your account settings.
By Us: We may suspend or terminate your account if you violate these Terms, with or without notice depending on the severity.
Effect of Termination: Upon termination, your right to use the platform ceases. You may export your data for 30 days after account closure.
11. Governing Law
These Terms are governed by the laws of the Kingdom of Saudi Arabia.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Riyadh, Saudi Arabia.
